Terms of Use and End User Agreement
Operated by Rethink Health, LLC (“Rethink Health,” “we,” “us,” or “our”).

Please read this Terms of Use and End User Agreement (“Agreement”) carefully before purchasing, accessing, using, or participating in the Rethink Osteoarthritis program, website, digital content, or related services.
By purchasing, accessing, using, participating in, or otherwise interacting with the Rethink Osteoarthritis program, website, digital content, downloads, worksheets, reflections, communications, or any related services provided by Rethink Health, LLC, you hereby represent, warrant, covenant, acknowledge, and agree that you have read, understood, and agree to be bound by all provisions of this Agreement and all related policies incorporated herein by reference, including any applicable Privacy Policy, disclaimers, checkout disclosures, refund policies, platform policies, and other notices provided by Rethink Health.
If you do not agree to all provisions of this Agreement, you may not purchase, access, use, or participate in the Program.
1. Acceptance of Agreement
This Agreement is entered into between you (“User,” “you,” or “your”) and Rethink Health, LLC.
For purposes of this Agreement, the “Program” means the Rethink Osteoarthritis educational program and all related websites, digital content, videos, downloads, worksheets, reflections, educational materials, communications, services, updates, and related offerings provided by or on behalf of Rethink Health, whether hosted through Kajabi, the Rethink Health website, the Rethink Osteoarthritis website, or any other platform.
By purchasing, accessing, using, or participating in any part of the Program, you hereby represent, warrant, covenant, acknowledge, and agree that:
- You are at least eighteen (18) years old;
- You have the legal authority and capacity to enter into this Agreement;
- You have read, understood, and agree to comply with all provisions of this Agreement;
- You will comply with all applicable federal, state, and local laws, rules, and regulations;
- You will use the Program only for lawful, personal, educational, and non-commercial purposes; and
- Your use of the Program is also subject to any applicable Privacy Policy, disclaimers, refund policies, platform policies, checkout disclosures, and other policies or notices made available by Rethink Health.
2. Educational Purpose Only / No Medical Advice
Rethink Osteoarthritis is an educational and informational wellness program designed to provide general education related to osteoarthritis, pain science, movement, mindset, behavior change, and healthy lifestyle concepts.
The Program is intended solely for general educational and informational purposes. The Program is not intended to, and does not:
- Diagnose, treat, cure, or prevent any disease, injury, pain condition, mental health condition, or medical condition;
- Provide medical advice;
- Provide physical therapy, rehabilitation, or exercise prescription;
- Provide psychological counseling, psychotherapy, psychiatric treatment, or mental health care;
- Replace individualized medical, rehabilitation, psychological, or healthcare guidance;
- Serve as a medical device or regulated digital therapeutic;
- Provide emergency care;
- Establish any clinical standard of care; or
- Create any licensed healthcare provider relationship.
Nothing contained in the Program should be interpreted as medical, psychological, rehabilitation, physical therapy, exercise prescription, or healthcare advice specific to your individual condition, symptoms, diagnosis, health status, or personal circumstances.
By purchasing, accessing, using, or participating in the Program, you hereby represent, warrant, covenant, acknowledge, and agree that you are solely responsible for consulting with your physician, physical therapist, mental health professional, or other qualified healthcare provider regarding whether any information, concepts, movement-related education, activities, lifestyle suggestions, reflection exercises, or other materials contained in the Program are appropriate for your individual health circumstances, medical needs, diagnosis, symptoms, limitations, medications, treatment plan, or risk factors.
You further acknowledge and agree that you should not rely exclusively on the Program for medical, rehabilitation, mental health, physical activity, treatment, or healthcare decision-making. You agree to disclose relevant Program information, materials, or concepts to your qualified healthcare provider as appropriate and to seek feedback and direction from such provider regarding whether, how, and to what extent any Program information may be suitable for your individual healthcare needs.
The Program may reference scientific research, clinical studies, expert opinions, educational frameworks, or health-related information believed to be reliable at the time presented. However, scientific understanding, clinical recommendations, research findings, and best practices may evolve over time. Rethink Health does not warrant or guarantee that all Program information reflects the most current research, all available studies, or all possible professional viewpoints at all times.
3. No Doctor-Patient or Therapist-Patient Relationship
Your purchase, access, use, or participation in the Program does not create:
- A doctor-patient relationship;
- A physical therapist-patient relationship;
- A psychologist-patient relationship;
- A counselor-client relationship;
- A coach-client therapeutic relationship;
- A fiduciary relationship; or
- Any other licensed healthcare provider relationship
between you and Rethink Health, its members, managers, managing members, officers, employees, contractors, advisors, researchers, licensors, contributors, affiliates, representatives, or affiliated experts.
The Program is educational in nature and is not individualized healthcare.
4. Not a Substitute for Professional Medical Care
You should always seek the advice of your physician or other qualified healthcare provider regarding:
- Any medical condition;
- Pain or symptoms;
- Exercise or physical activity participation;
- Changes to treatment plans;
- Medication decisions;
- Mental health concerns;
- New, worsening, or concerning symptoms; or
- Questions regarding your health.
Do not disregard professional medical advice or delay seeking professional care because of information provided in the Program.Â
If you experience severe pain, chest pain, shortness of breath, dizziness, fainting, neurological symptoms, falls, signs of infection, suicidal thoughts, thoughts of harming yourself or others, or any medical or mental health emergency, call 911 or seek immediate emergency medical care.
5. Assumption of Risk Related to Physical Activity and Health Decisions
The Program may include educational content related to:
- Movement;
- Exercise;
- Physical activity;
- Mobility;
- Pain education;
- Behavior change;
- Stress reduction;
- Mindset reframing;
- Lifestyle modification; and
- General self-management concepts.
Participation in physical activity and implementation of health-related information involve inherent risks, including but not limited to pain, soreness, discomfort, falls, injury, aggravation of existing conditions, emotional distress, and other unexpected health events.
By purchasing, accessing, using, or participating in the Program, you hereby represent, warrant, covenant, acknowledge, and agree that:
- You voluntarily participate in the Program at your own risk;
- You are solely responsible for determining, in consultation with appropriate healthcare professionals, whether any information, activity, concept, or suggestion in the Program is appropriate for you;
- You will use your own judgment and will not engage in any movement, activity, or behavior that feels unsafe, inappropriate, or inconsistent with professional medical guidance you have received;
- You should stop any activity that causes concerning symptoms and seek appropriate medical care when needed;
- You assume full responsibility for your decisions, actions, omissions, participation, and health outcomes; and
- Rethink Health is not responsible for any injury, health complication, emotional distress, worsening symptoms, or other outcome arising from your use of or participation in the Program.
You further acknowledge that osteoarthritis symptoms, pain experiences, movement tolerance, health status, and outcomes vary significantly between individuals. No specific physical, emotional, behavioral, functional, medical, or health-related results are guaranteed.
6. Mental Health Disclaimer
The Program may discuss mindset, stress, emotions, motivation, beliefs, behavior change, and psychological concepts related to health, pain, and movement.
However, the Program is not psychotherapy, counseling, psychiatric treatment, crisis intervention, mental health diagnosis, or mental health care. The Program is not intended to treat depression, anxiety, trauma, suicidal thoughts, or any mental health condition.
If you are experiencing significant emotional distress, suicidal thoughts, thoughts of self-harm, thoughts of harming others, or a mental health crisis, contact a licensed mental health professional, call 988 in the United States, call 911, or seek emergency services immediately.
7. User Eligibility
You must be at least eighteen (18) years old to purchase, access, use, or participate in the Program.
By purchasing, accessing, using, or participating in the Program, you hereby represent, warrant, covenant, acknowledge, and agree that:
- You are legally capable of entering into a binding agreement;
- The information you provide to Rethink Health or its third-party platforms is accurate, current, and complete;
- Your use of the Program complies with applicable laws; and
- You will not access or use the Program if you are prohibited from doing so by law or by this Agreement.
8. User Responsibilities
You agree to:
- Use the Program only for lawful, personal, educational, and non-commercial purposes;
- Provide accurate account, contact, and payment information;
- Maintain the confidentiality of your login credentials;
- Notify Rethink Health promptly of any unauthorized access to your account;
- Consult appropriate healthcare professionals regarding your health decisions;
- Use good judgment during any movement, physical activity, reflection, or behavior-change activity;
- Respect the intellectual property rights of Rethink Health and its licensors;
- Refrain from misuse of the Program or any related platform; and
- Comply with this Agreement and all related policies incorporated herein by reference.
You are solely responsible for all activity that occurs through your account.Â
9. Intellectual Property and Copyright Protection
All Program content, including but not limited to videos, audio, text, graphics, downloads, worksheets, reflection prompts, educational materials, logos, designs, course structure, frameworks, methods, software, branding, and other materials, is owned by, licensed to, or used with permission by Rethink Health and is protected under United States and international intellectual property, copyright, trademark, trade secret, and other applicable laws.
Subject to your compliance with this Agreement, Rethink Health grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Program solely for your own personal, non-commercial educational use.
No ownership rights are transferred to you. All rights not expressly granted in this Agreement are reserved by Rethink Health and its licensors.Â
10. Restrictions on Sharing, Recording, or Redistributing Content
Unless expressly authorized in writing by Rethink Health, you may not:
- Copy, reproduce, distribute, publish, transmit, display, perform, or otherwise exploit Program materials;
- Share, sell, rent, sublicense, transfer, or provide access to your account or login credentials;
- Record videos, audio, screens, live sessions, or other Program content;
- Screenshot or download substantial portions of Program content for redistribution;
- Upload Program content to public or private platforms, websites, social media, artificial intelligence tools, file-sharing systems, or other repositories;
- Create derivative works based on Program content;
- Reverse engineer, scrape, data mine, or otherwise extract Program materials;
- Use Program content to develop, market, or sell a competing product or service;
- Remove copyright, trademark, or proprietary notices; or
- Use the Program for commercial, unlawful, misleading, or unauthorized purposes.
Violation of this section may result in termination of access and may subject you to legal action.Â
11. Payment, Refund, and Subscription Terms
All prices are listed in U.S. dollars unless otherwise stated.
Payments may be processed through third-party payment processors, Kajabi, Stripe, or other third-party platforms. By making a purchase, you agree to comply with the applicable payment processor’s policies and terms.
Refund Policy
We want users to feel confident trying the Rethink Osteoarthritis program. If you are unsatisfied with your purchase, you may request a refund within fourteen (14) days of purchase, provided that no more than twenty-five percent (25%) of the Program content has been accessed, completed, downloaded, or otherwise consumed.
To request a refund, please contact us at hello@rethinkoa.net with your purchase information.
Refunds will not be provided:
- More than fourteen (14) days after purchase;
- After substantial completion, access, download, or use of Program materials;
- For accounts that violate this Agreement;
- For suspected abuse, misuse, fraudulent activity, or unauthorized sharing;
- For recurring subscription charges that were not canceled before the renewal date; or
- Where otherwise prohibited by applicable platform policies or payment processor rules.
Rethink Health reserves the right to deny refund requests in cases of suspected abuse, misuse, fraud, unauthorized sharing, or violation of this Agreement.Â
If you experience technical issues accessing the Program, please contact us and we will make reasonable efforts to resolve the issue before processing a refund.
Approved refunds will generally be processed within five (5) to ten (10) business days, depending on the payment provider.
12. Disclaimer of Warranties
THE PROGRAM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE FULLEST EXTENT PERMITTED BY LAW, RETHINK HEALTH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
Rethink Health does not warrant or guarantee that:
- The Program will meet your individual needs or expectations;
- The Program will produce any particular health, physical, emotional, behavioral, medical, functional, or other result;
- The Program will be uninterrupted, error-free, secure, or available at all times;
- Any information in the Program will be complete, current, or free from error;
- Any third-party platform, payment processor, website, or linked resource will operate without interruption or error; or
- Any Program content will be appropriate for your individual health circumstances.
Individual experiences and outcomes vary significantly.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RETHINK HEALTH, LLC, INCLUDING ITS MEMBERS, MANAGERS, MANAGING MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, RESEARCHERS, ADVISORS, CONTRIBUTORS, LICENSORS, AFFILIATES, SUCCESSORS, ASSIGNS, THIRD-PARTY SERVICE PROVIDERS, AND ANY PARTIES LINKED THROUGH OR REFERENCED BY THE RETHINK HEALTH WEBSITE OR PROGRAM, SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES OF ANY KIND ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE PROGRAM, YOUR USE OF OR INABILITY TO USE THE PROGRAM, ANY HEALTH-RELATED DECISION, ANY PHYSICAL ACTIVITY, ANY RELIANCE ON PROGRAM CONTENT, ANY THIRD-PARTY PLATFORM, ANY WEBSITE OR RESOURCE LINKED TO OR REFERENCED BY THE PROGRAM, OR ANY RELATED SERVICES.
THIS LIMITATION INCLUDES, WITHOUT LIMITATION, DAMAGES FOR PERSONAL INJURY, HEALTH COMPLICATIONS, WORSENING SYMPTOMS, PAIN, EMOTIONAL DISTRESS, LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COST OF SUBSTITUTE SERVICES, OR ANY OTHER INTANGIBLE OR CONSEQUENTIAL LOSS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF RETHINK HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
By purchasing, accessing, using, or participating in the Program, you hereby represent, warrant, covenant, acknowledge, and agree that Rethink Health is not and shall not be liable for consequential, incidental, punitive, exemplary, special, indirect, or other similar damages of any kind or nature.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE MAXIMUM AGGREGATE LIABILITY OF RETHINK HEALTH ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE PROGRAM, OR ANY RELATED SERVICES SHALL NOT EXCEED TWO (2) TIMES THE TOTAL FEES PAID BY YOU TO RETHINK HEALTH FOR THE PROGRAM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You acknowledge and agree that this limitation of liability represents a fair and reasonable allocation of risk and a reasonable estimate of potential damages in light of the nature of the Program, the fees charged, and the educational and informational purpose of the Program.
Some jurisdictions do not allow certain exclusions or limitations of liability. In such jurisdictions, Rethink Health’s liability shall be limited to the fullest extent permitted by applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Rethink Health, LLC and its members, managers, managing members, officers, directors, employees, contractors, representatives, researchers, advisors, contributors, licensors, affiliates, successors, assigns, third-party service providers, platform providers, payment processors, and any parties linked through or referenced by the Rethink Health website or Program (collectively, the “Released and Indemnified Parties”) from and against any and all claims, demands, actions, causes of action, liabilities, damages, losses, judgments, settlements, costs, expenses, obligations, and fees, including reasonable attorneys’ fees and costs, arising out of or relating to:
- Your purchase, access, use, misuse, or inability to use the Program;
- Your participation in any movement, activity, reflection, behavior-change exercise, or other Program-related activity;
- Your reliance on any Program information;
- Your health decisions, medical decisions, treatment decisions, or failure to seek professional care;
- Your violation or alleged violation of this Agreement;
- Your violation or alleged violation of any applicable federal, state, or local law, rule, or regulation;
- Your breach or alleged breach of any representation, warranty, covenant, acknowledgment, or obligation under this Agreement;
- Your infringement or alleged infringement of any intellectual property, privacy, publicity, or other rights of any person or entity;
- Your user-generated content, comments, reflections, submissions, or communications;
- Your unauthorized sharing, copying, recording, distribution, or misuse of Program content; or
- Your negligence, misconduct, fraud, or unlawful conduct.
Rethink Health reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification under this Agreement, and you agree to cooperate fully with Rethink Health in the defense of any such matter.
15. Release of Claims
To the fullest extent permitted by law, you voluntarily release, waive, acquit, and discharge Rethink Health, LLC and the Released and Indemnified Parties from any and all claims, demands, causes of action, damages, liabilities, losses, costs, and expenses arising out of or relating to your purchase, access, use, participation in, or reliance on the Program, including but not limited to claims related to health outcomes, physical activity, pain, injury, emotional distress, or dissatisfaction with results.
You acknowledge and agree that you are voluntarily assuming the risks associated with your use of the Program and that the Program is provided for educational and informational purposes only.
16. Privacy and Data Collection
Your use of the Program is also subject to Rethink Health’s Privacy Policy, which is incorporated into this Agreement by reference.
Rethink Health or its third-party platforms may collect and process information such as:
- Name;
- Email address;
- Account information;
- Payment-related information;
- Usage analytics;
- Course progress data;
- Reflection responses;
- Communications with Rethink Health; and
- Other information you choose to provide.
The Program is not intended to create, receive, maintain, or transmit protected health information subject to the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), unless Rethink Health separately enters into a written agreement that expressly states otherwise.
You acknowledge and agree that third-party platforms, including Kajabi, payment processors, email providers, analytics tools, and other service providers, may collect, process, or store certain information according to their own policies.
17. User-Generated Content and Electronic Communications
If the Program allows reflections, comments, survey responses, forms, emails, community participation, or other user-generated submissions, you retain ownership of your content. However, by submitting such content, you grant Rethink Health a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, host, store, reproduce, process, display, transmit, and analyze such content as reasonably necessary to operate, improve, administer, evaluate, and protect the Program and Rethink Health’s business.
In addition, by voluntarily submitting testimonials, reviews, survey responses, feedback, comments, reflections, success stories, quotes, outcome information, or similar content to Rethink Health, you hereby grant Rethink Health, LLC a non-exclusive, worldwide, royalty-free, perpetual, transferable, sublicensable license to use, reproduce, edit, modify, adapt, publish, distribute, display, transmit, analyze, and otherwise use such content for educational, operational, research, reporting, promotional, marketing, business-development, and Program-related purposes, subject to applicable law and this Agreement.
Rethink Health may also use, analyze, aggregate, de-identify, anonymize, summarize, and disclose Program usage information, engagement information, survey responses, outcome information, analytics, completion information, and related Program data for reporting, operational, research, partnership, educational, quality-improvement, referral-source, business-development, healthcare collaboration, employer, clinic, payer, investor, grant-related, scientific, or analytics purposes, provided that such information is disclosed in a manner intended to avoid directly identifying individual users unless additional authorization is obtained where required by applicable law.
However, Rethink Health will not intentionally publicly disclose your full name, identifiable image, video, voice recording, or identifiable health-related testimonial in external marketing or promotional materials without additional consent where required by applicable law.
If Rethink Health separately requests a testimonial, interview, photograph, audio recording, video recording, media appearance, ambassador participation, advocacy participation, or similar identifiable promotional participation, additional media release, testimonial consent, publicity release, or authorization documents may be required.
You represent and warrant that any content you submit is accurate to the best of your knowledge, does not violate the rights of any third party, and does not violate applicable law or this Agreement.
By providing your email address or other contact information, you consent to receive electronic communications from Rethink Health related to the Program, your account, purchases, updates, policies, and other Program-related matters. You may unsubscribe from marketing communications where required by law, but transactional or administrative communications may still be sent as necessary.Â
18. Third-Party Platforms, Links, and Resources
The Program may be hosted, delivered, or supported through third-party platforms, including but not limited to Kajabi, payment processors, email platforms, video hosting providers, analytics tools, or other service providers.
The Program may also include links or references to third-party websites, resources, articles, tools, providers, or organizations. These third-party resources are provided for convenience or educational context only.
Rethink Health does not control and is not responsible for third-party platforms, websites, content, policies, services, availability, accuracy, security, privacy practices, or actions. Your use of any third-party platform, service, or resource is at your own risk and may be governed by separate terms and policies.
19. Termination of Access
Rethink Health reserves the right to suspend, restrict, or terminate your access to the Program, with or without notice, if Rethink Health determines, in its sole discretion, that you have:
- Violated this Agreement;
- Misused the Program;
- Shared login credentials;
- Copied, recorded, distributed, or misused Program content;
- Provided false or misleading information;
- Failed to pay required fees;
- Engaged in fraudulent, abusive, unlawful, or harmful conduct; or
- Created risk or potential liability for Rethink Health or others.
Termination does not limit any other rights or remedies available to Rethink Health. Sections intended by their nature to survive termination shall survive, including but not limited to intellectual property, restrictions on use, disclaimers, limitation of liability, indemnification, release, governing law, arbitration, and dispute resolution provisions.
20. Governing Law
This Agreement and any dispute, claim, or controversy arising out of or relating to this Agreement, the Program, or any related services shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to conflict-of-law principles.
21. Dispute Resolution / Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND YOUR RIGHT TO HAVE CLAIMS HEARD BY A JURY.
To the fullest extent permitted by law, you and Rethink Health agree that any dispute, claim, controversy, or cause of action arising out of or relating to this Agreement, the Program, your purchase, access, use, or participation in the Program, any related services, or the relationship between you and Rethink Health shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may seek relief in small claims court for qualifying claims or seek injunctive or equitable relief to protect intellectual property, confidential information, or unauthorized use of Program content.
The arbitration shall be administered by the American Arbitration Association (“AAA”) in accordance with its applicable Consumer Arbitration Rules, unless the parties mutually agree in writing to use JAMS or another arbitration provider.
The arbitration shall be conducted by one (1) neutral arbitrator. The arbitrator shall have the authority to resolve all issues relating to the dispute, including issues of arbitrability, enforceability, interpretation, and scope of this arbitration provision.
The exclusive location and venue for any arbitration shall be Charlotte, North Carolina, unless the parties mutually agree in writing to a remote, telephonic, or video proceeding or unless applicable arbitration rules require otherwise.
The arbitration shall be conducted in English. The arbitrator shall apply the laws of the State of North Carolina, consistent with the governing law provision of this Agreement. The arbitrator may award any relief available in an individual lawsuit, except that claims may not be arbitrated on a class, collective, consolidated, or representative basis.
You and Rethink Health each agree that any dispute resolution proceeding will be conducted only on an individual basis and not as a class action, collective action, consolidated action, private attorney general action, or other representative proceeding.
YOU AND RETHINK HEALTH EACH KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.
Unless otherwise required by applicable law or arbitration rules, each party shall be responsible for its own attorneys’ fees and costs. Arbitration filing fees and arbitrator compensation shall be allocated according to the applicable AAA rules, unless otherwise required by law or ordered by the arbitrator.Â
If any portion of this arbitration section is found to be unenforceable, the unenforceable portion shall be severed, and the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.
22. Changes to Agreement
Rethink Health may update, revise, or modify this Agreement from time to time. The “Last Updated” date at the top of this Agreement reflects the date of the current version.
By continuing to access, use, or participate in the Program after the Last Updated date changes or after revised terms are posted or made available, you hereby represent, warrant, covenant, acknowledge, and agree that you accept and agree to be bound by the revised Agreement.Â
If you do not agree to the revised Agreement, you must stop using the Program.Â
23. Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
24. Entire Agreement
This Agreement, together with any Privacy Policy, checkout disclosures, refund policies, disclaimers, and other policies or notices incorporated by reference, constitutes the entire agreement between you and Rethink Health regarding the Program and supersedes all prior or contemporaneous understandings, communications, or agreements regarding the Program.
25. No Waiver
Rethink Health’s failure to enforce any provision of this Agreement shall not be deemed a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Rethink Health.

Rethink Osteoarthritis is an educational wellness program designed to provide general information related to osteoarthritis, movement, pain, mindset, behavior change, and healthy lifestyle concepts.
The Services are not intended to provide medical advice, diagnosis, treatment, physical therapy, rehabilitation, mental health care, emergency care, or any healthcare provider service. The Services are not intended to create a doctor-patient, therapist-patient, psychologist-patient, or other licensed healthcare provider relationship.
Although the Services may involve general health-related education and may collect certain wellness, survey, program-use, or self-reported health-related information, Rethink Health is not currently offering the Services as a covered healthcare provider, health plan, healthcare clearinghouse, or business associate under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations (“HIPAA”), unless Rethink Health separately enters into a written agreement that expressly states otherwise.
You should not submit sensitive medical information, medical records, diagnostic records, prescription information, or emergency health information through the Services unless Rethink Health specifically requests such information and provides instructions for doing so.

Rethink Health does not control and is not responsible for the privacy practices, security practices, content, data handling, availability, accuracy, policies, or actions of third-party providers, websites, platforms, or services.

If applicable state consumer health privacy laws require additional consents, notices, or rights, Rethink Health intends to evaluate and implement such requirements as appropriate based on its operations, users, data practices, and legal obligations.
9. HIPAA and Healthcare Partnerships
Rethink Health is currently operating the Services as a direct-to-consumer educational wellness platform and not as a healthcare provider, health plan, healthcare clearinghouse, or business associate under HIPAA, unless expressly stated in a separate written agreement.
Information you provide through the Services may not be protected by HIPAA. Instead, it may be protected by this Privacy Policy, applicable consumer privacy laws, state privacy laws, contract obligations, platform policies, and other applicable legal requirements.
If Rethink Health enters into future partnerships with healthcare providers, clinics, health systems, payers, employers, Medicare Advantage organizations, physical therapy practices, or other entities, HIPAA and other healthcare privacy laws may need to be reviewed based on the specific workflow, data flows, roles of the parties, contracts, integrations, and whether protected health information is created, received, maintained, or transmitted.
Future healthcare partnerships may require additional documents, such as business associate agreements, data use agreements, patient authorization forms, notices of privacy practices, consent forms, information-sharing agreements, or other privacy and security documentation.
10. Data Security
We use commercially reasonable administrative, technical, and organizational safeguards designed to protect personal information from unauthorized access, loss, misuse, disclosure, alteration, or destruction.

California residents may have additional rights under California privacy laws, including the California Consumer Privacy Act as amended by the California Privacy Rights Act (“CCPA/CPRA”), if those laws apply to Rethink Health based on applicable thresholds and business practices.
At this time, this section is intended as a general notice and does not determine whether Rethink Health is subject to CCPA/CPRA. Applicability may depend on factors such as revenue, number of consumers or households whose information is processed, data-sharing practices, and other legal thresholds.
If California privacy laws apply, California residents may have rights to know, access, correct, delete, limit use of sensitive personal information, and opt out of certain sharing or sale of personal information, subject to applicable exceptions.
Rethink Health does not sell personal information in exchange for money. If future advertising, analytics, or tracking practices constitute “sharing” or “sale” under applicable California law, Rethink Health intends to provide required notices and opt-out mechanisms as applicable.

By accessing, using, purchasing, participating in, or submitting information through the Services, you represent, warrant, covenant, acknowledge, and agree that you are located in the United States, are a resident of the United States, and are using the Services from within the United States.Â
Rethink Health does not intentionally market the Services to individuals located outside the United States and does not intend to offer the Services in the European Union, European Economic Area, United Kingdom, Switzerland, or other non-U.S. jurisdictions unless expressly stated otherwise.
If you access the Services from outside the United States despite this restriction, you acknowledge and agree that your information may be transferred to, processed in, and stored in the United States, where privacy laws may differ from those in your jurisdiction.
GDPR, UK GDPR, and other international privacy compliance obligations should be reviewed before Rethink Health intentionally markets to, enrolls, or processes personal information from individuals located outside the United States.
16. Children’s Privacy
The Services are intended only for adults age eighteen (18) and older.
We do not knowingly collect personal information from children under thirteen (13). We also do not knowingly permit individuals under eighteen (18) to purchase, access, or participate in the Program.

In addition, by voluntarily submitting testimonials, reviews, feedback, survey responses, comments, reflections, quotes, outcome information, success stories, communications, or similar content through the Services, you hereby represent, warrant, covenant, acknowledge, and agree that Rethink Health, LLC may collect, use, reproduce, process, analyze, edit, modify, adapt, publish, distribute, display, transmit, store, and otherwise use such information for educational, operational, analytical, research, reporting, Program-improvement, business-development, investor-related, grant-related, scientific, marketing, promotional, and other lawful business purposes, subject to applicable law and this Privacy Policy.
Rethink Health may create, use, retain, disclose, or share de-identified, anonymized, aggregated, abbreviated, edited, summarized, or non-identifiable versions of submitted content for Program improvement, educational materials, analytics, scientific or business reporting, research-related activities, grant applications, outcome evaluation, product development, partnership discussions, investor materials, publications, presentations, marketing, and other lawful purposes.
However, Rethink Health will not intentionally publicly disclose your full name, identifiable image, identifiable video, identifiable audio recording, or identifiable health-related testimonial in external promotional or marketing materials without additional consent where required by applicable law. We will not attempt to re-identify information that has been de-identified except as permitted by law, such as to test whether de-identification procedures are effective.
If Rethink Health separately requests participation in a testimonial campaign, media feature, interview, advocate program, ambassador role, podcast, recording, webinar, video appearance, photograph, or similar identifiable promotional activity, additional media release, publicity release, testimonial consent, authorization, or related documentation may be required.
Unless otherwise permitted by law or separately authorized by you, Rethink Health will not intentionally publish your identifiable health-related testimonial, image, or story for marketing purposes without appropriate consent.Â
Any testimonial or review reflects an individual experience and does not guarantee that others will experience the same or similar results.
18. Dispute Resolution; Arbitration
By accessing, using, purchasing, participating in, or submitting information through the Services, you hereby represent, warrant, covenant, acknowledge, and agree that any dispute, claim, controversy, or cause of action arising out of or relating to this Privacy Policy, the collection, use, disclosure, processing, storage, retention, transfer, safeguarding, or protection of information, or your use of the Services shall be governed by the dispute resolution, binding arbitration, class action waiver, limitation of liability, release, indemnification, governing law, and related provisions contained in the Rethink Osteoarthritis Terms of Use and End User Agreement, which are incorporated herein by reference.
Without limiting the foregoing, you acknowledge and agree that disputes shall be resolved exclusively through binding individual arbitration in Charlotte, North Carolina, as described in the Terms of Use and End User Agreement.
